Location: Nigeria (Lagos with operations in Port Harcourt, and other locations within the Niger-Delta)

Company: Indigenous Nigerian Oil and Gas E&P Company.

Likely to: possess high finance and business analytical skills; be Chartered Accountant
and/or have other relevant finance/numeracy, business law, oil industry regulation and
Tax qualifications, Knowledge and/or experience, including rich, past hands-on oil
industry background and experience.

PURPOSE OF RECRUITMENT AND SCOPE OF WORK:
A Nigerian indigenous oil and gas exploration & production company is seeking a Finance Director (FD) and Chief Financial Officer (CFO) capable of being a key change agent towards helping the Company realize significant, rapid growth and in optimizing it’s true market and business potentials over the short-to-medium term.

Reporting to the CEO, with dotted reporting line to the Audit Committee of the Board, the right candidate can anticipate being operationally classed in the topmost Executive Management tripod of the firm, and possible successor to the office of the CEO. The FD/CFO will have comprehensive responsibility for all financial reporting, audit, compliance and governance issues and she or he shall be the primary contact with all relevant financial sector regulators and specifically, the Securities & Exchange Commission in Nigeria and elsewhere, and in time, any stock exchange(s), on which the company’s securities may be listed.

As the Chief Financial Officer of the Company, the FD/CFO shall be responsible for managing the financial activities in a manner that results in growth, profitability and that enhance shareholder value. The FD/CFO is responsible for: ensuring the overall excellence of the finance function of the Company, including developing and implementing an effective system of accounting and by ensuring timely and accurate financial reporting and the integrity of related systems and procedures; managing the payroll system; supporting the CEO’s responsibilities and duties as the senior financial person of the Company; providing assistance and expertise to the Company’s Audit Committee; contributing to the firm’s strategic direction and growth; and handling Mergers and Acquisitions; and controlling the financial aspects of all the company’s field development efforts, as well as business assets acquisitions and field development processes.

The FD/CFO will also be responsible for managing all accounting functions for the company including: managing financial accounting and reporting; budgeting and cash flow management; managing risk and developing processes, structures and systems; presenting at investment meetings; controls and management of production and other costs or optimization and other operational efficiencies; other accounting, finance and special project responsibilities as required; communicating financial issues with non-financial professionals; preparing and presenting monthly, quarterly and year-end consolidated financial statements at the Management Discussions and Analysis (MD&A); reviewing statements and transactions to ensure compliance; and conducting internal reviews to ensure compliance and transparency.

The FD/CFO will also be reviewing contracts and preparing relevant tax returns, handling financial performance analysis, dealing with control and authorization of expenditures based on company policies and procedures as approved by the Board, and reporting and analysis of costs. Other responsibilities include:

  • Providing financial and accounting advice, direction and leadership.
  • Reporting and analysis of working capital employed in and the cash flow of the Company.
  • Preparation of financial database and reports with analysis and comparisons against budgets and related objectives on a consolidated monthly and quarterly basis.
  • Approvals for financial expenditures etc.
  • Implementing and monitoring payment authority practices.
  • Establishing and maintaining cash controls.
  • Monitoring departmental spending and recommending corrective actions as necessary.
  • Ensuring compliance with financial legislation, policies and procedures etc.
  • Developing and implementing purchasing practices and monitoring the purchasing system.
  • Evaluating the performance of, and providing training and development opportunities for Accounts & Finance staff.
  • Managing, maintaining and upgrading of financial, payroll and human resources information systems.
  • Participating in the preparation of tender documents and administering contracts.
  • Responding to auditors’ comments concerning finances and operations and overseeing required action to address deficiencies.
  • Approving the chart of accounts and maintaining commitment controls.
  • Managing investments and reserves etc.
  • Working closely with the CEO and other executives and employers as related to field development and operations; and implementation of business plans, objectives and reporting against these plans.
  • Fostering good working relationships with the company’s banks, auditors, Board of Directors and shareholders.
  • Assisting as required, in the financial aspects of acquisitions, strategic partnerships, joint ventures and other alliances.
  • Performing all other related finance functions as may be required by the CEO or the Audit Committee, or the Board of Directors.
  • Ensuring compliance with Corporate Policies and all regulatory, statutory and legal requirements applicable to the CFO’s duties and responsibilities.
  • Providing advice and assistance on human resource planning and management issues that border on the budget.
  • Establishing and maintaining internal controls to ensure compliance with relevant financial and accounting principles and standards, as well as national legislation, industry standards, company policies and procedures.
  • Ensuring that the financial statements, together with other financial information fairly present in all material respects, the financial condition, results of operations and cash flows for the Company.
Work Experience, Qualification and Age:
The successful candidate will be expected to have had cognate work experience of between 15–20 years, preferably, significantly acquired in the Oil & Gas industry, in Nigeria and internationally, out of which, 5 would be at top executive management level.

The Finance Director appointee would normally have attained a recognized professional accounting qualification, in addition to having relevant University degree or degrees, from reputable, top institutions of higher learning, anywhere in the world.

Given the above specified technical and work experience qualification, the right candidate for this vacant position would likely NOT be less than 40–55 years of age bracket.
